Sentinel Terms of Service

These Terms of Service ("Terms") are between SJK Enterprises LLC ("SJK," "we," "us," or "our") and the business or legal entity that uses Sentinel ("Customer," "you," or "your"). They govern your use of alwayssentinel.app and the Sentinel software platform (the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you are at least 18 years old and have authority to bind that business.

Beta Agreement. While Sentinel is in beta, every customer must also accept the Sentinel Beta Software Access and User Agreement (the "Beta Agreement"). If these Terms and the Beta Agreement conflict, the Beta Agreement controls.

1. The Service

Sentinel helps eCommerce sellers analyze Walmart Marketplace and Amazon data, identify potential fee and shipment discrepancies, and organize reimbursement or dispute opportunities.

Sentinel is an analytical and workflow tool. We do not submit disputes for you, act as your agent, or guarantee that any discrepancy exists or that any claim will be accepted or paid.

Sentinel is currently beta software. Features may change, be incomplete, or be removed, and the Service may be interrupted.

2. Accounts

  • Accounts are available by invitation only.
  • You are responsible for keeping your login credentials secure and for all activity under your account.
  • You must give us accurate account information and keep it up to date.
  • Tell us right away at the email below if you suspect unauthorized access to your account.

3. Marketplace Credentials and Data

  • When you connect Walmart, you authorize us to use the API credentials you provide to read your seller data from Walmart. Sentinel only reads data from Walmart; it never changes anything in your Walmart account.
  • You represent that you are authorized to provide those credentials and any reports you upload, and that your use of them through Sentinel complies with your marketplace agreements and policies.
  • You keep ownership of your data. You grant us a limited right to host, process, and analyze it as needed to provide, secure, support, and improve the Service, as described in our Privacy Policy.

4. Acceptable Use

You agree not to:

  • Resell, sublicense, or provide access to the Service to anyone outside your organization without our written permission.
  • Reverse engineer, copy, or try to extract the Service's source code or proprietary methods, except where the law expressly allows it.
  • Bypass access controls, or try to access another customer's account or data.
  • Upload malicious code, or interfere with or overload the Service.
  • Use the Service for unlawful, fraudulent, or deceptive purposes, including submitting claims you know to be false.

We may suspend or restrict access when reasonably necessary to protect the Service, our customers, or our legitimate business interests.

5. Fees

The Service is free during the beta. We will not charge you for any future paid plan unless you first receive the pricing and affirmatively agree to it. See our Refund Policy for how refunds will work.

6. Independence from Marketplaces

Sentinel is an independent product of SJK Enterprises LLC and is not affiliated with, endorsed by, or sponsored by Walmart Inc., Walmart Marketplace, Walmart Fulfillment Services (WFS), Amazon.com, Inc., or Fulfillment by Amazon (FBA). All trademarks are the property of their respective owners.

We are not responsible for the actions, decisions, errors, outages, fee changes, or reimbursement determinations of any marketplace or third-party service.

7. No Guarantee of Results

All discrepancies and amounts shown in Sentinel (for example, "potential recovery," "variance," or "estimated reimbursement") are estimates based on the data available to us and our methods. They are not confirmed amounts owed to you.

You are responsible for checking every result yourself, meeting marketplace deadlines, and deciding whether to file a claim. Do not rely on Sentinel as your only source of financial, inventory, or dispute information.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. SJK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • SJK AND ITS OWNERS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THIS INCLUDES LOST PROFITS OR REVENUE, MISSED OR EXPIRED REIMBURSEMENT CLAIMS, UNRECOVERED FEES OR INVENTORY, INCORRECT ESTIMATES, AND LOST OR CORRUPTED DATA. THIS APPLIES EVEN IF WE WERE ADVISED THAT THESE DAMAGES WERE POSSIBLE.
  • SJK'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limits apply regardless of the legal theory, including contract, tort, or negligence. Nothing in these Terms limits liability that cannot be limited by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless SJK and its owners, officers, employees, and contractors from third-party claims, damages, and reasonable expenses, including attorneys' fees, arising from your unlawful or unauthorized use of the Service, your breach of these Terms, data you provide without the necessary rights, or claims you submit to a marketplace using the Service.

11. Termination and Account Deletion

  • You may stop using the Service at any time. You can delete your account and your organization's data under Settings → Delete account, or by emailing us.
  • We may suspend or end your access if you breach these Terms, for security reasons, or if we discontinue the Service. Where reasonably practicable, we will give advance notice of a termination that is not due to misconduct or security concerns.
  • When your account ends, your right to use the Service ends. Keep your own copies of any records you need; deleted data cannot be recovered.
  • Sections that by their nature should survive termination (including 3, 6 through 10, and 13) survive.

12. Changes

We may update the Service and these Terms. We will post updated Terms on this page with a new effective date and, for material changes, notify you by email or in the app before they take effect. Continuing to use the Service after changes take effect means you accept them.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law rules. We will first try to resolve any dispute through good-faith discussion. If that does not resolve it, any lawsuit must be brought exclusively in the state or federal courts with jurisdiction over Winnebago County, Illinois, and both parties consent to personal jurisdiction there.

14. General

These Terms, the Beta Agreement, and our Privacy Policy are the entire agreement between us about the Service. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. The parties are independent contractors.
